製藥巨頭併購案破局 輝瑞出價690億英鎊再遭拒 阿斯特捷利康慘跌13%

英國製藥公司阿斯特捷利康 (AstraZeneca)( (US-AZN) ) 19 日拒絕了美國藥廠輝瑞 (Pfizer) ( (US-PFE) ) 690 億英鎊的最終報價，表示這次出價估值太低，並給股東帶來太大風險。許多公司大股東對此不滿，阿斯特捷利康股價因而重跌 13%。

英國《衛報》報導，阿斯特捷利康在拒絕被併之後，股價跌掉 13%，收 42.04 英鎊，代表市值蒸發 80 億英鎊。投資人認為，下次併購的機會看來遙遙無期，一些公司的大股東，包括木星 (Jupiter) 基金，對此大表不滿。

阿斯特捷利康董事長 Leif Johansson 表示，輝瑞出價為每股 55 英鎊，並未達到必要的水準。輝瑞則說，上周五他們準備出價每股 53.5 英鎊，但周末被告知，出價至少要再高 10%，公司估值應超過 740 億英鎊。

輝瑞最終在周日表示，他們最後的出價是每股 55 英鎊，交易的現金比例，也從 33% 提高到 45%，但最終遭拒。

Johansson 認為，輝瑞低估了新藥業務做為獨立事業的價值，並表示，輝瑞是為了稅務理由移到英國，從 1 月以來的討論，輝瑞都未能提出一個讓人矚目的戰略、業務目標或價值，董事會決定拒絕提案，因為這個提案並不足夠，而且帶來股東顯著的風險，同時也將給公司和員工以及英國、瑞典和美國的生命科學行業帶來嚴重的後果。

輝瑞表示，他們還在考慮各種可能性，Johansson 則說，他不確定交易是否胎死腹中。Panmure Gordon 分析師 Savvas Neophytou 表示，他認為股東會施壓要求阿斯特捷利康重啟談判。

以周一下午的股價計算，阿斯特捷利康現在市值為 530 億英鎊，公司前 30 大股東木星基金經理人 Alistair Gunn 表示，他們對公司董事會拒絕最後提案感到失望，並且將表達不滿。

輝瑞公司素有大額併購的傳統，2009 年輝瑞就以 680 億美元價格收購了美國惠氏公司，2002 年以 560 億美元收購了Pharmacia公司，這次併購若成功，將使 2 家公司共組全球銷售第一的藥廠。據《路透社》報道，由於阿斯特捷利康一半分支機構位於英國、美國和瑞典，這宗收購案在 3 國都出現強烈的政治抵制，對可能的裁員感到擔憂。

葉倫擴大充份就業定義

（中央社台北2014年5月20日電）彭博報導，1999年時，美國失業率是4.3%，當時柯林頓總統首席經濟顧問給予在耶魯大學集會的經濟學家一個訊息：勞動市場緊俏有利於黑人、西班牙裔和男性中學中輟生。

說這話的人是目前擔任聯邦準備理事會（Fed）主席的葉倫（Janet Yellen），她現在對弱勢族群也抱著同樣同情的態度。

在葉倫上任100天中，她一直很注重聯準會充份就業的目標，並強調在最廣泛失業衡量標準進展的必要性，這些標準包括長期失業人數和只能找到部分工時工作的人數。

紐約決策經濟學公司（Decision Economics Inc.）總裁賽奈（Allen Sinai）說：「這是巨大的改變，新的定義。葉倫將會更積極追求更加廣泛定義的充份就業。」賽奈在華爾街40年的職業生涯中，個人與5任聯準會主席都認識。

這項改變引起投資人「某些空前緊張」，在聯準會逐步結束100年來最積極的刺激經濟行動之際，他們必須陪著走在紐約美國銀行高級經濟師韓遜（MichaelHanson）所稱的葉倫的「高空鋼絲」上。

今年67歲的葉倫希望勞動市場熱絡起來，讓工人回來。同時，她也無法容忍通膨一直都超過聯準會2%的目標。她在4月16日紐約經濟俱樂部（Economic Club ofNew York）的集會中，形容這項物價目標是「強烈的承諾」時，與會人士都熱烈鼓掌。（譯者：中央社簡長盛）

北市鄰里公園多，不過要成為廣告片、婚紗業者取景的場景之一，可不是件簡單的事情，位在北投區立農里吉利街175號旁的「吉利公園」，種了4、50棵吉野櫻、山櫻花及八重櫻，每年2、3月盛開時，櫻花遍野的迷人景致，吸引不少婚紗、廣告業者前來取景，也成為立農里內的特色景點之一。

面積約5270平方公尺的吉利公園，就位在北市圖立農分館的附近，已有24年的歷史。

立農里長潘建榮表示，早期的吉利公園因鋪面高低不平，再加上植栽、樹木設計不理想，公園內的裸露鋪面多，很少人使用。

為了打造社區理想的公園景觀，北市民政局自88年起持續針對鄰里公園進行改造，並推動認養制度，其中吉利公園便是在民國93年間改造完成。

潘建榮說，當時接納居民的意見，以「複層式植栽」配置各式灌木、草花樟樹等各色植物，讓吉利公園一年四季都有花可賞。

特別的是，隨著公園越來越漂亮，附近居民更自掏腰包，買了4、50棵吉野櫻、山櫻花、八重櫻、梅花，甚至還有各種果樹、咖啡樹，不僅吸引松鼠、斑鳩、五色鳥進駐，還成為幼兒園生態教學地之一。

潘建榮笑著說，吉利公園打造完工後，如今從早到晚都有人遊憩，甚至還有民眾在這裡拍婚紗、拍廣告，曾有拍片人員打開水龍頭灑水營造氣氛，被居民誤為搗蛋遭制止，成為立農里趣談。

實際上，吉利公園變美了，也因而讓立農里住戶的向心力增強了，不僅附近住戶會幫忙維護公園的花草樹木，若看到有民眾遛狗不清狗便、亂丟垃圾、菸蒂等，還會勸阻，被戲稱是立農里自發性的「糾察隊」，也成為吉利公園美化後的「副作用」。
